Video: What Is a DUNA? Uniswap, Wyoming, and How WYDE Uses It
What is a DUNA, and why did the biggest name in DeFi just adopt one? A DUNA, a Decentralized Unincorporated Nonprofit Association, is a real Wyoming legal entity built for one purpose: to give a DAO legal standing in the real world without turning it into a company and without sacrificing its decentralization. In September 2025, Uniswap Governance adopted one, an entity called DUNI, becoming the largest DAO to do so. Here's why it matters. A group of token holders coordinating real money with no legal entity is exposed. In the eyes of the law, it can be treated like a general partnership, where any one member can be held personally responsible for the whole group's debts and legal problems. A single lawsuit could reach an ordinary participant's own savings. A DUNA fixes that. It gives the organization its own legal identity, so it can sign contracts, hold assets, pay taxes, and go to court as itself, and it gives participants and token holders limited liability, shielding them personally. It also makes on-chain votes legally binding off-chain, so the community genuinely governs. And because the "N" stands for nonprofit, a DUNA can't pay profits out to members. Any surplus serves the mission. Wyoming invented the LLC before the rest of the country adopted it. It created the DUNA first too. Uniswap uses this structure for a trading protocol. WYDE uses the same structure for charity: ending hunger. ▶ Learn how WYDE is built: https://wyde.org ▶ Read: What Is a DUNA? https://www.techbuzz.ai/articles/what-is-a-duna ▶ Watch next: "501(c)(3) vs 501(c)(4): Why WYDE Has Both" + "WYDE: The Rails of Impact" The WYDE Foundation: https://wyde.org/foundation ABOUT THE DUNA The Decentralized Unincorporated Nonprofit Association (DUNA) is a Wyoming legal structure enacted in 2024, purpose-built to give DAOs legal personhood and to give their participants and token holders limited liability, while preserving decentralized, token-holder governance. As a nonprofit structure, it cannot distribute profits to members. Wyoming was the first state to enact it, Alabama followed as the second, and other states are considering similar laws. Uniswap is cited as a public example only; this video implies no affiliation or endorsement. WYDE operates the Impact Exchange and uses the DUNA structure for a charitable mission: turning everyday activity into charitable grants for verified hunger-relief organizations, with everything publicly verifiable. WYDE Association holds 501(c)(4) status, and the WYDE Foundation is its 501(c)(3) charitable arm. Learn more at https://wyde.org.
